Company limited by shares (SCA):

    (Act no 5-96)
    The S.C.A is a hybrid corporate form where there are some specific features to the S.C.S and some other inherent to the S.A.
    It brings together two kinds of partners: active partners and limited partners.
    It has, like the SA a capital divided into shares, freely transferable.
    There is no minimum capital expressly required in the SCA.
    The capital consists of contributions from two categories of partners excluding industrial contributions.
    The shares are transferable unless there is a clause requiring approval or statutory preemption.



  • Ownership title deed, registered lease agreement or certificate of residence;
  • Articles of Incorporation signed by the shareholders and registered;
  • Negative certificate;
  • Identity documents of the managers and limited partners;
  • The authorization provided for by law if the limited partners are minors under Moroccan law;
  • Advance majority statement for minor limited partners;
  • Matrimonial regime for the limited partners;
  • Registered minutes of the ordinary general meeting appointing the manager and all members of the supervisory board and the auditor or auditors;
  • List of subscribers showing the number of shares subscribed and paid up by each of them;
  • Statement of subscription and payment;
  • Bulletin of the subscribers;
  • Statement of Conformity;
